Aug. 31, 2026), the District of Delaware dismissed a defendant's breach-of-contract and indemnification counterclaims because the company alleged only that its website terms were visible, not that the plaintiff had actually assented to them.

    Why it matters: Businesses that rely on website terms and conditions to shield themselves from TCPA liability cannot assume a visitor agreed to those terms just because they typed in a phone number. Merely posting terms is not enough to form a binding contract.
