The short answer

A Form D lookup checks whether a company has filed the notice the SEC receives after a private sale of securities. This free tool shows the date of the latest Form D, the amounts the company reported offering and selling, its investor count and how many Form Ds it has filed. A free trial adds the people named.

  • No signup needed
  • Read from SEC filings
  • Amounts as the company reported them

Funding Trigger API

Check a whole list of companies for a recent raise with a CSV file or the API.

Check a whole list of companies for a recent raise: every Form D with its amount, the money sold, the investor count and the people named, at 2 credits per company found.

A Form D lookup shows in seconds whether a company has told the SEC about a private sale of securities.

Enter a company name as it is registered with the SEC, or its CIK number. The tool finds the company in the SEC's records and shows the latest Form D it filed: the filing date, the amount it reported offering, the amount it reported selling, how much was still to sell and how many investors it reported.

A company that sells securities in a private offering files a Form D with the SEC within 15 days of the first sale. The figures on it are the company's own account of the sale, so this page words them that way, as reported sold and reported offering. It also shows the date of the first sale, the industry group and how many Form Ds the company has filed. To keep the tool free for everyone, a company looked up in the last six hours is shown again.

A company that is registered with the SEC and has filed no Form D is answered as exactly that, and so is a name the SEC does not hold. Neither uses up a lookup. A free trial adds the officers and directors named on the filing, the exemption and security types, the minimum investment and every earlier Form D with its amounts, and checks many companies at once.

A Form D lookup returns these facts, and each one answers a different question.

This is an invented result for a made-up company, laid out the way a real one comes back. The latest filing and its amounts are free on this page, and a free trial opens the rest.

  2. Recent raise

    Yes, within 90 days

Whether that filing is less than 90 days old at the time of the lookup. It describes when the notice was filed, not how much was sold.

    $15M

The amount the company reported it was offering in this sale.

  4. Sold so far

    $12.5M

The earlier filings with their amounts and investor counts, newest first.

Checking a company takes three steps and no signup.

  1. Enter the company

Type the name as the company registered it, or paste its CIK number. The SEC matches a name from the start, so the beginning of the registered name is enough.

  2. We read the SEC record

The company is found in the SEC's public records, its Form D filings are listed and the latest one is opened for its amounts and investor count.

  3. Read the answer

You see the date of the latest Form D, what it reports offered and sold, how many investors it reports and how many Form Ds the company has filed.

One lookup reads the SEC's filing records for a company and shows the latest Form D.

This is the path a single lookup takes. Nobody is contacted and nothing is filed.

What one Form D lookup does
  1. You enter a companyA registered name, or a CIK number.
  2. The company is foundA name is matched from the start. A name the SEC does not hold stops the lookup.A name the SEC does not hold stops here and costs no credits.
  3. The Form D is readThe latest filing's date, amounts and investor count, as the company reported them.
  4. You see the answerThe filing, or a plain statement that no Form D is on file.

Bulk Form D checks run the same lookup on a whole list with one CSV file.

The free tool checks one company at a time. With a 1Lookup account you upload a CSV file in the dashboard, pick the column that holds the company names or CIK numbers and download the same file back with the result columns filled in on every row. These rows are invented.

  • 2 credits for each company that has filed a Form D, about $9.90 per 1,000 companies on Starter, and nothing for one that has not.
  • Up to 2 million rows in one CSV file.

The Funding Trigger API returns the same record as JSON from one request.

Send the company name or CIK number to the endpoint with your API key. A company with a Form D on file costs 2 credits, and one with none, a name the SEC does not hold or a mistyped value costs 0. One Form D lookup shows when a company reported a raise and how much.

  • The amounts are shown as the company reported them.

Offering size, sold so far and still to sell come straight from the filing, so an offering size is never passed off as money received.

  • A recent filing is flagged.

The result says whether the latest Form D was filed within 90 days of the lookup, so a fresh notice reads differently from an old one.

  • A company with no Form D costs no credits.

A registered company that has filed none and a name the SEC does not hold both return a plain answer.

  • A name or a CIK number both work.

Type the registered name, or paste a CIK number to name one exact filer when several companies and funds share the start of a name.

Sales teams, recruiters, reporters and founders all check Form D filings with this tool.

  • Sales teams timing their outreach

Look up a prospect before you call and see whether it filed a Form D lately, and what it reported selling.

  • Recruiters and agencies following employers

Check a company you are about to approach and see how recently it told the SEC about a private sale of securities.

  • Journalists and researchers checking a start-up

See when a start-up filed, what each filing reports offering and how many investors it reports.

  • Founders sizing up a competitor

See how often a competitor has filed a Form D and the amounts each filing reports.

These are the questions people ask about the free Form D lookup.

Is the Form D funding lookup really free?

Yes. You get a few lookups a day without an account, and nothing to pay. A free 1Lookup trial removes the daily limit and adds the officers and directors named on the filing, the exemption and security types and the earlier Form Ds with their amounts.

Where does the information come from?

From the SEC's own public filing records, where each company's Form D filings are listed and the filings themselves can be opened. 1Lookup reads them when you ask. To keep the tool free for everyone, a company looked up in the last six hours is shown again.

What is a Form D?

A Form D is a short notice a company files with the SEC within 15 days of the first sale of securities in a private offering. It gives the amount offered, the amount sold so far, how many investors took part and the people who run the company. The amounts are the company's own account of the sale.

Does a Form D mean the company raised the money?

It means the company told the SEC it sold securities and reported the amounts. This page words every figure as reported, as in reported sold and reported offering, because a Form D is a notice the company files itself.

Why does a company come back with no Form D?

Either it is registered with the SEC and has never filed one, or the name does not match a registered company. Both are free answers. Some private sales are exempt from the notice and a few are filed late, so no Form D on file means exactly that and nothing more.

What happens when several companies share a name?

The SEC matches a name from the start, so a short name can match several companies and funds. The tool answers for the best match, an exact name first. To ask about one exact filer, enter its CIK number, or use the API, which lists the next matches with their CIK numbers.

Does it show who the investors are?

No. A Form D gives a count of investors, not their names, and that count is what this page shows. The people a Form D does name are the company's own officers and directors, and a free trial shows them.

How current is the result?

The Form D is read from the SEC's records when you ask. A company looked up again within six hours is shown from the last lookup, and the Latest Form D row gives the date of the filing so you can see how old it is.

What does the Recent raise row mean?

It says whether the latest Form D was filed within 90 days of the lookup. It is about the date of the notice, so a Yes means a recent filing and says nothing about how large the sale was.

Can I check a list of companies at once?

Yes, in a free trial. Upload a CSV with a company column holding a name or a CIK number on each row, or call the Funding Trigger API. Each company with a Form D costs 2 credits, and one with none costs nothing.
